We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site strictly in accordance with these Terms. This license does not include the right to reproduce, distribute, publicly display, or create derivative works from any Site content except as expressly permitted herein.

5. Insights and Published Content

All Star Strategy publishes articles, guides, and thought-leadership content on the Site (collectively, "Insights"). Insights are provided for general informational purposes only and do not constitute professional advice. You should not act or refrain from acting based on any Insights without first seeking appropriate professional counsel tailored to your specific circumstances.

6. Consulting Services and Engagement Terms

These Terms govern your use of the Site only. Any consulting, advisory, coaching, fractional leadership, or other professional services engagement with All Star Strategy will be governed by a separate written agreement (such as a statement of work, master services agreement, or engagement letter) executed between you (or your organization) and All Star Strategy. In the event of a conflict between these Terms and a separate written engagement agreement, the engagement agreement will control with respect to the applicable services.

ALL STAR STRATEGY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ALL STAR STRATEGY MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALL STAR STRATEGY, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ALL STAR STRATEGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ALL STAR STRATEGY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless All Star Strategy, LLC, its members, managers, officers, employees, agents, affiliates, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Collin County, Texas, for the resolution of any disputes arising under these Terms.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact All Star Strategy and attempt to resolve any dispute informally. You may reach us through the contact information provided in Section 16.

13.2 Binding Arbitration

If a dispute cannot be resolved informally within thirty (30) days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Collin County, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND ALL STAR STRATEGY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Termination

We reserve the right, in our sole discretion, to restrict, suspend, or terminate your access to the Site at any time and for any reason, with or without notice. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any separate engagement agreements, constitute the entire agreement between you and All Star Strategy regarding your use of the Site.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of All Star Strategy to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without All Star Strategy's prior written consent. All Star Strategy may assign these Terms without restriction.
